Terms of Service

These Terms of Service ("Agreement") govern the use of Positive Review Machine ("Service") provided by MediaThreads, LLC ("Seller") to the purchaser of the Service ("Client").

1. Definitions

"Seller" refers to MediaThreads, LLC, an Ohio limited liability company. "Client" refers to any individual or entity purchasing and using the Service.

2. Service Description

Seller provides software for managing Google Reviews as a subscription-based service.

3. Fees and Payment

Client agrees to pay: a) A one-time setup fee and (b) monthly subscription fee based upon the level features selected at the time of purchase

Fees are non-refundable and subject to change with 30 days notice[1].

4. Term and Termination

This Agreement commences on the date of purchase. Either party may terminate this Agreement without cause by providing 30 days written notice to the other party[2].

5. Arbitration

Client agrees to forego litigation and be bound by arbitration in the State of Ohio for any disputes arising from this Agreement[3].

6. Indemnification

Client agrees to indemnify and hold Seller harmless from any claims, losses, or damages arising from Client's use of the Service[4].

7. Limitation of Liability

Seller's liability under this Agreement shall not exceed the amount paid by Client for the Service in the 12 months preceding the event giving rise to the claim[5].

8. Data Ownership and Privacy

Client retains ownership of all data inputted into the Service. Seller will handle Client's data in accordance with its Privacy Policy[1].

9. Acceptable Use

Client agrees to use the Service in compliance with all applicable laws and regulations. Seller reserves the right to suspend or terminate Client's access for violations of this provision[3].

10. Intellectual Property

All intellectual property rights in the Service remain the property of Seller. Client is granted a non-exclusive, non-transferable license to use the Service for the duration of this Agreement[1].

11. Support and Maintenance

Seller will provide reasonable technical support and maintain the Service to ensure its availability. Scheduled maintenance will be communicated in advance[2].

12. Modifications to the Service

Seller reserves the right to modify, suspend, or discontinue any part of the Service with notice to Client[5].

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio[3].
